Minneapolis Women Leaders Association Subscriber Terms, sections 1.0 to 11.0.
1.0 Introduction and Scope
1.1 These subscriber terms (the "Agreement") are a legally binding arrangement under which you may use content streamed or downloaded from this website.
1.2 The content concerned, namely every webinar, conference, seminar, eBook, eDocument and other item of content, is published by the Minneapolis Women Leaders Association (the "Association") and is referred to as the "Content".
1.3 "We", "us" and "our" mean the Association.
1.4 Keeping a copy of this Agreement on file is recommended.
1.5 The Association will try to process each subscription application promptly. It does not, however, guarantee availability of the Content to you by any given time following purchase of a subscription.
2.0 Ownership and Trade Mark
2.1 The intellectual property rights in the website and in all Content, including copyright and database rights, are owned by the Association or its licensors.
2.2 You acknowledge that "Minneapolis Women Leaders Association" is a trade mark of ours. Use of it by you requires the Association's written permission.
2.3 ALL RIGHTS THE MINNEAPOLIS WOMEN LEADERS ASSOCIATION RESERVES IN THIS SUBSCRIBER AGREEMENT ARE WITHOUT PREJUDICE TO THE OTHER RIGHTS WE HOLD AT LAW, APPLICABLE COPYRIGHT LEGISLATION BEING INCLUDED AMONG THEM.
3.0 What Your Subscription Permits
3.1 Your right of use is non-exclusive and confined to your own legitimate business or personal use.
3.2 Within that right, you may retrieve and view Content using any compatible device.
3.3 Within that right, you may also download Content that is made available for download and store a single copy on a storage device personal to you, such as a USB drive. Storage on a shared drive, a shared server or any other storage device connected to a network is excluded.
4.0 Restrictions and Monitoring
4.1 The following are forbidden to you, and you may not permit any third party to engage in them:
- 4.1.1 except as sections 3.2 and 3.3 expressly allow, any copying, reproduction, broadcast, transmission, modification, abstraction, creation of derivative works, storage, archiving, aggregation, public display, redistribution, sharing, forwarding, licensing, sub-licensing, publication or sale of the Content, or its commercial exploitation in any manner;
- 4.1.2 the sharing of your ID with any individual or other third party;
- 4.1.3 the making available of your ID to multiple users, on a network, within an organization or in any other setting;
- 4.1.4 the removal of copyright or trade mark notices from the Content;
- 4.1.5 framing, harvesting or scraping of the Content, or any similar practice; and
- 4.1.6 use of the Content for any unlawful purpose.
4.2 We reserve the right to monitor your use of any service.
4.3 Use of the Content in breach of sections 3.0 or 4.0 entitles the Association to cancel your subscription or suspend your access to the Content.
5.0 Registration, Credentials and Security
5.1 Subscription requires accurate and complete registration information about yourself, which you are responsible for updating and maintaining by contacting service@BizSummits.org.
5.2 Each subscription is for one single user.
5.3 Your "ID" consists of your username, password and any other access details for the website. Responsibility for every use of the Content made through your ID, whether by you or by any other person, and for guarding against unauthorized use of your ID, is yours.
5.4 You must notify the Minneapolis Women Leaders Association immediately by e-mail to service@BizSummits.org if you wish to change your ID or if you believe a breach of security has occurred, including disclosure, theft or unauthorized use of your ID or of any payment information.
6.0 Acceptance and Authority
6.1 You will have been asked to confirm acceptance of this Agreement either before your first access to the Content as a subscriber or in a subsequent confirmation e-mail, and again on each renewal of your subscription.
6.2 Every time you access the Content, you confirm your acceptance of these terms. You should therefore refer to section 11.3 to see whether this Agreement has been updated since your last visit.
6.3 A subscription acquired for your use at a company or other organization that employs or otherwise engages you binds that company or organization as well, since you accept this Agreement on its behalf, and you and it are both responsible for use of the Content in accordance with this Agreement. Every user within an organization requires a separate subscription.
6.4 If you do not accept this Agreement, or are not authorised to accept it for your business or work, you should not access or use any Content.
7.0 Subscription Options and Charges
7.1 Several levels or types of subscription may be offered concurrently, each potentially giving access to different Content and services. You will be told which applies when you acquire your subscription.
7.2 The Association may change the Content and services, and any subscription level, at any time.
7.3 Payment terms and subscription lengths may vary and will be made clear at the point of subscribing.
7.4 On subscribing, you must give the Association complete and accurate payment information, and you agree to pay at the rates in effect on your subscription date.
7.5 Submission of card payment details is your warranty that you are entitled to purchase a subscription using those details.
7.6 Failure on our part to receive timely payment or payment authorization, or the later cancellation or refusal of any authorization, entitles us to terminate your subscription or suspend your access to the Content immediately.
7.7 Charges are in US dollars. Applicable taxes may also be payable by you.
8.0 Renewal, Cancellation and Refunds
8.1 Renewal. An annual subscription renews automatically for one further year unless you notify us before the end of the current annual period that you no longer wish to receive it. The renewal will be charged to the card or other payment method used previously.
8.2 Start of service. In ordering, you agree that we may start your subscription immediately on accepting your order. Accordingly, no refund is available for a change of mind after we have provided access to your subscription.
8.3 Cancellation by you. Subject to 8.2, you may not cancel your subscription, in whole or in part, until the end of the subscription period then current. You may give notice of intended cancellation whenever you wish, but it takes effect only at the end of that period, and you will receive no refund other than in the limited circumstances described in these terms.
8.4 How to cancel. Notice of cancellation is given by contacting our Customer Services team at service@BizSummits.org.
8.5 Suspension or termination by us. The Association reserves the right to suspend or terminate your subscription for breach of these terms and conditions, with or without notice and without further obligation to you. We may also suspend or terminate your subscription where circumstances beyond our control prevent us from providing services to you.
8.6 Pro rata refund. Unless there are exceptional circumstances, if we terminate your subscription for any reason and/or permanently cease publishing the Content or providing subscription services, you will receive a pro rata refund to your credit card of the amounts you paid in advance relating to the remaining, unexpired period of your subscription.
9.0 Responsibility and Its Limits
9.1 Please give this section careful attention. It is important because it states how far, if at all, the Minneapolis Women Leaders Association accepts responsibility (liability) to you for your use of the Content.
9.2 The Content and this website are made available "as is" and "as available".
9.3 We have no liability to you for matters outside our reasonable control, for the internet, for acts of God or for the acts of third parties.
9.4 We have no responsibility for your use of Content beyond the scope of this Agreement.
9.5 We have no liability to you for the Content or this website if you have paid no subscription fee.
9.6 We offer no promise regarding the availability, quality, security, completeness or accuracy of the Content or the website, or that they are free of viruses or the like.
9.7 Our sole promise regarding the Content and the website is that we will try to develop and operate them with reasonable skill and care and will use reasonable efforts to remedy any fault that comes to our knowledge.
9.8 The Content is general information for your use and does not address your particular requirements. It is not advice, a recommendation, a representation or an endorsement of any kind, and users should not rely on it in reaching, or declining to reach, any specific business, investment or other decision.
9.9 WE DISCLAIM, TO THE FULLEST EXTENT APPLICABLE LAW PERMITS, ALL WARRANTIES, REPRESENTATIONS, CONDITIONS AND DUTIES, OF WHATEVER KIND, INCLUDING WITHOUT LIMITATION THOSE OF SATISFACTORY QUALITY, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
9.10 OUR FINANCIAL RESPONSIBILITY TO YOU, ARISING FROM YOUR USE OF THE CONTENT OR OTHERWISE UNDER OR IN RELATION TO THIS AGREEMENT, EXTENDS ONLY TO DIRECT DAMAGES AND IS LIMITED TO A SUM EQUAL TO THE PRICE OF YOUR SUBSCRIPTION AS PAID BY YOU.
9.11 THE BENEFIT OF THE LIABILITY LIMITATIONS IN THIS SECTION 9.0 EXTENDS TO THE MINNEAPOLIS WOMEN LEADERS ASSOCIATION, TO ITS AFFILIATES AND TO THE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS AND ASSIGNS OF EACH.
9.12 This Agreement does not exclude or restrict our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited or excluded.
10.0 Governing Law, Jurisdiction and Arbitration
10.1 This Agreement is governed by and to be construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict or choice of law principles.
10.2 You and we irrevocably agree that the appropriate federal or state court in Delaware has exclusive jurisdiction to settle any dispute arising out of, under or in connection with this Agreement.
10.3 Legal action arising from or related to your subscription, use or purchase of the Association's products or services must be brought through arbitration under the rules of the American Arbitration Association in Atlanta, Georgia.
10.4 The filer (plaintiff) bears all arbitration filing and hearing costs. Each party covers its own legal fees.
